CvRadar — Terms of Use and End User License Agreement (EULA)
Version 1.0 — 31 October 2026
This text is a draft prepared with the assistance of artificial intelligence and should be reviewed by a lawyer before relying on it.
This document is available in Italian, English and Russian. In case of any discrepancy between the versions, the Italian version prevails.
Art. 1 — Parties and subject matter
1.1. This agreement (the "Terms") governs the use of the CvRadar software (the "Software"), an application for computers (Windows, macOS, Linux) and for Android, including its updates and documentation.
1.2. The Software is licensed by Federico Bellizia, a private individual resident in Italy (the "Licensor"), to whoever installs or uses it (the "User").
1.3. The Software is proprietary freeware: it is distributed free of charge, but it is neither free software nor open source. The source code is not public and is not licensed.
1.4. The Software is distributed exclusively through the GitHub repository https://github.com/bdbais/cvradar-releases and the website https://cvradar.bais.info. Copies obtained from other sources are not warranted by the Licensor.
Art. 2 — Description of the Software
2.1. The Software helps a recruiter or employer collect curricula vitae (CVs) and rank them against job positions defined by the User.
2.2. All CV sources are configured by the User: manual import of files (PDF, DOCX, TXT); a watched local folder; a Telegram bot belonging to the User, created with a token provided by the User; the User's email inbox via IMAP; an embedded browser for job portals, in which the User logs in with their own account and from which the Software imports only the files downloaded by the User and the pages the User expressly chooses to capture with the dedicated button. The Software does not crawl, does not automate navigation and does not bulk-extract data from portals.
2.3. The Software extracts the text of CVs, uses a locally run artificial intelligence model to compute the semantic similarity between a CV and the job description, checks for the required skills, roughly estimates years of experience and, if enabled by the User, trains for each position a classifier based solely on the "suitable / not suitable" assessments made by the User. The output is a score with an explanation.
2.4. The score supports the assessment; it is not a decision. The final decision always rests with the User. The Software does not automatically reject or contact candidates, except for automatically sending, through the User's Telegram bot, an acknowledgement-of-receipt message to the candidate who sent the file.
2.5. All data processed by the Software (CVs, scores, assessments, settings) remain on the User's computer. The Software contains no telemetry or analytics, requires no account and transmits no data to the Licensor. The Software's network connections are described in the Privacy Policy.
Art. 3 — License grant
3.1. The Licensor grants the User a personal, non-exclusive, non-transferable, non-sublicensable, free-of-charge license, revocable in the event of breach of these Terms, to install and use the Software on devices under the User's control, for the purposes described in Art. 2.
3.2. "Personal" means that the license is granted to the User, whether a natural person or an organisation, and to persons acting on the User's behalf and under the User's control (for example employees or contractors); it may not be assigned to third parties.
3.3. All rights not expressly granted are reserved to the Licensor.
Art. 4 — Restrictions
4.1. Except as mandatorily permitted by law, the User may not:
a) decompile, disassemble or reverse engineer the Software, without prejudice to what is permitted by Articles 64-ter and 64-quater of Italian Law No. 633 of 22 April 1941 (in particular, observing, studying and testing the functioning of the Software and, under the statutory conditions, decompiling it to obtain the information necessary for interoperability with other programs);
b) sell, rent, lease or lend, sublicense or otherwise distribute the Software, even free of charge, or offer it as a service to third parties;
c) modify the Software, create derivative works or remove or alter copyright notices, trademarks or other proprietary notices;
d) circumvent or disable the Software's technical measures;
e) use the Software in breach of the law or of these Terms.
4.2. Clauses excluding the rights provided by Articles 64-ter(3) and 64-quater of Law No. 633/1941 are null and void and do not apply.
Art. 5 — Intellectual property
5.1. The Software, its code, graphics, the name "CvRadar" and the documentation belong to the Licensor and are protected by copyright and intellectual property law. The license does not transfer any ownership rights.
5.2. The Software includes third-party components (libraries and the artificial intelligence model downloaded on first use) subject to their respective licenses. Nothing in these Terms limits the rights granted to the User by those licenses.
5.3. Data entered or processed by the User remain at the User's exclusive disposal. The Licensor acquires no rights over them.
Art. 6 — User's responsibility as data controller
6.1. When processing candidates' personal data with the Software, the User acts as data controller under Regulation (EU) 2016/679 ("GDPR") and Italian Legislative Decree No. 196 of 30 June 2003 ("Italian Privacy Code"). The Licensor does not process such data and is neither a controller nor a processor.
6.2. The User is solely responsible for: identifying an appropriate legal basis; providing candidates with the information notice (Articles 13 and 14 GDPR); complying with the principles of data minimisation and storage limitation; securing their own computer and accounts; assessing whether a data protection impact assessment is required (Article 35 GDPR); complying with employment and anti-discrimination law and, where applicable, with the deployer obligations under Regulation (EU) 2024/1689 ("AI Act").
6.3. The "Responsible Use Guide" and the "Candidate Privacy Notice" template provided with the Software are support tools and do not constitute legal advice.
Art. 7 — Third-party services and portals
7.1. Job portals (for example LinkedIn, Indeed, InfoJobs, hh.ru, Glassdoor, Monster or other addresses entered by the User), Telegram and the User's mail server are used with the User's own accounts and credentials and are subject to the terms of service of those third parties.
7.2. The User is solely responsible for using portals in compliance with their terms of service, including any restrictions on downloading, copying or reusing data, and for complying with the terms of Telegram and of their own email provider.
7.3. The Licensor has no relationship with such third parties, does not control their services and is not liable for their availability, changes or any suspension of the User's account.
Art. 8 — Prohibited uses
8.1. The Software must not be used:
a) to discriminate against candidates, directly or indirectly, on grounds of sex, age, racial or ethnic origin, colour, nationality, religion or belief, political opinions, trade union membership, disability, health, sexual orientation, marital or family status, pregnancy or other grounds protected by law;
b) to search for, infer or assess special categories of personal data (Article 9 GDPR) or data relating to criminal convictions and offences (Article 10 GDPR), or to configure skills, keywords or job descriptions referring to them;
c) to inquire into opinions or facts that are not relevant to assessing professional aptitude, in breach of Article 8 of Italian Law No. 300 of 20 May 1970 and Article 10 of Italian Legislative Decree No. 276 of 10 September 2003;
d) to take decisions based solely on automated processing that produce legal effects concerning candidates or similarly significantly affect them (Article 22 GDPR), for example excluding candidates on the basis of the score alone without genuine human review;
e) to infer emotions or to categorise persons on the basis of biometric data, for example from photographs contained in CVs;
f) to collect data from portals in breach of their terms of service, or to process unlawfully obtained data;
g) for any unlawful purpose or any purpose other than that described in Art. 2.
Art. 9 — Disclaimer of warranties
9.1. The Software is provided free of charge "as is" and "as available". To the maximum extent permitted by law, the Licensor gives no warranties, express or implied, in particular as to fitness for a particular purpose, absence of errors or interruptions, or the accuracy, completeness or impartiality of scores, text extraction or experience estimates.
9.2. The results of the artificial intelligence model and of the classifier are statistical estimates; they may be wrong and may reflect biases present in the data or in the User's assessments. The User must review them critically.
9.3. Nothing in this article limits the rights mandatorily granted to consumers under Italian Legislative Decree No. 206 of 6 September 2005 ("Consumer Code"), to the extent applicable to software supplied free of charge.
Art. 10 — Limitation of liability
10.1. To the extent permitted by law, the Licensor is not liable for direct or indirect damage arising from the use of or inability to use the Software, including loss of data, loss of profit, hiring or selection decisions, penalties or third-party claims (including from candidates, authorities or portal operators) resulting from the User's use of the Software.
10.2. In accordance with Article 1229 of the Italian Civil Code, the limitation in paragraph 10.1 does not apply to damage caused by the Licensor's wilful misconduct (dolo) or gross negligence (colpa grave), nor where the act constitutes a breach of obligations arising from rules of public policy.
10.3. The limitation never applies to damage to persons (death or personal injury) resulting from an act or omission of the Licensor.
10.4. If the User is a consumer, the limitation applies only to the extent permitted by Articles 33 et seq. of the Consumer Code; any clauses found to be unfair under those provisions are null and void, while the remainder of the agreement remains valid.
10.5. The User is responsible for making backup copies of their data.
Art. 11 — Indemnity
11.1. A User who is not a consumer undertakes to hold the Licensor harmless from third-party claims (including from candidates, supervisory authorities and portal operators) arising from the User's breach of these Terms, of data protection law, of employment and anti-discrimination law or of third-party terms of service.
Art. 12 — Updates
12.1. The Software checks for updates and downloads them automatically from the public GitHub repository indicated in Art. 1.4.
12.2. The Licensor is under no obligation to provide updates, fixes, new features or support and may change or remove features or stop developing and distributing the Software at any time.
12.3. Updates are governed by these Terms or by the version of the Terms in force at the time of the update.
Art. 13 — Support
13.1. Reports may be submitted through GitHub issues: https://github.com/bdbais/cvradar-releases/issues. Issues are public: do not include personal data, whether your own or candidates', or CVs. Support is provided on a voluntary basis, with no guarantee of response or response time.
Art. 14 — Donations
14.1. The User may support the project with voluntary donations via https://paypal.me/bellizia.
14.2. Donations are spontaneous gifts. They are not consideration and do not confer any right to support, features, updates, services or priority, nor do they modify these Terms.
Art. 15 — Term and termination
15.1. These Terms take effect upon acceptance and remain in force for an indefinite period.
15.2. The User may terminate the relationship at any time by uninstalling the Software.
15.3. In the event of breach of Articles 3, 4, 7 or 8, the license terminates automatically pursuant to Article 1456 of the Italian Civil Code, upon the Licensor's notice that it intends to rely on this clause.
15.4. Upon termination, the User must stop using the Software and uninstall it. Articles 5, 6, 9, 10, 11, 18 and 19 survive termination.
Art. 16 — Changes to the Terms
16.1. The Licensor may amend these Terms, for example to reflect legal changes or the evolution of the Software. The new version is published on the website and presented in the Software at the first launch after the update.
16.2. Changes apply only after acceptance by the User. If the User does not accept them, the User must stop using the Software; previously installed versions remain governed by the Terms the User accepted.
Art. 17 — Acceptance
17.1. These Terms are presented at the first launch of the Software. Use of the Software is conditional upon their acceptance through the dedicated control.
17.2. The User declares to be at least 18 years old and to have the capacity to enter into this agreement and, if acting on behalf of an organisation, to be authorised to bind it.
Art. 18 — Governing law
18.1. These Terms are governed by Italian law.
18.2. If the User is a consumer resident in another Member State of the European Union, the choice of Italian law does not deprive the User of the protection afforded by the mandatory provisions of the law of their country of residence (Article 6 of Regulation (EC) No 593/2008).
Art. 19 — Jurisdiction
19.1. If the User is a consumer, the court of the place of the consumer's residence or domicile has jurisdiction over any dispute (Article 66-bis and Article 33(2)(u) of the Consumer Code).
19.2. In all other cases, the Court of {{FORO_COMPETENTE}}, the Licensor's place of residence, has exclusive jurisdiction.
Art. 20 — Final provisions
20.1. If any provision of these Terms is or becomes invalid or unenforceable, the remaining provisions remain valid; the invalid provision is replaced by the valid provision closest to its purpose, within the limits of the law.
20.2. The Licensor's failure to exercise a right does not constitute a waiver of it.
20.3. These Terms, the Privacy Policy and the Responsible Use Guide constitute the entire agreement between the parties regarding the Software.
20.4. Licensor's contacts: GitHub issues indicated in Art. 13 and email {{EMAIL_CONTATTO}}.
Specific approval of onerous clauses
Pursuant to Articles 1341 and 1342 of the Italian Civil Code, the User declares to have read and to specifically approve, by separate acceptance, the following clauses:
- Art. 3.1 (revocability of the license) and Art. 4 (restrictions on use and prohibition of transfer to third parties);
- Art. 7.3 (exclusion of liability for third-party services and portals);
- Art. 9 (disclaimer of warranties);
- Art. 10 (limitation of liability);
- Art. 11 (indemnity);
- Art. 12.2 (right to change or remove features and to stop development and distribution);
- Art. 15.3 (express termination clause);
- Art. 16 (changes to the Terms);
- Art. 19.2 (derogation from territorial jurisdiction).
If the User is a consumer, the clauses listed above apply only if and to the extent that they are not unfair under Articles 33-38 of the Consumer Code; their specific approval does not cure any nullity.
